Welcome to MontreCY, an educational platform owned and operated by SKILLNEST SCHOOL PRIVATE LIMITED("Company", "we", "our" or "us").

MontreCYprovides financial literacy programmes and related educational services for children under the supervision of their Parent or Legal Guardian. Certain purchases may be initiated through the Platform; however, checkout and payment are completed through the Company's official website.

These Terms of Use ("Terms") govern your access to and use of the Company's website, mobile applications, products, services and related offerings (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and the Company's Privacy Policy.

If you are accepting these Terms on behalf of a Child, you represent and warrant that you are the Child's Parent or Legal Guardian and have the legal authority to do so.

If you do not agree to these Terms, you must not access or use the Platform.

About These Terms

These Terms constitute a legally binding agreement between you and SKILLNEST SCHOOL PRIVATE LIMITED governing your access to and use of the Platform.

Certain features or services may also be subject to additional policies published by the Company from time to time. Such policies shall form an integral part of these Terms.

Definitions

For the purposes of these Terms, unless the context otherwise requires, the following terms shall have the meanings assigned below:

1.1 Account

The registered user account created to access and use the Platform.

1.2 Child

An individual below the age of eighteen (18) years who accesses or uses the Platform under the supervision of a Parent or Legal Guardian.

1.3 Company

SKILLNEST SCHOOL PRIVATE LIMITED, its successors, affiliates, subsidiaries, employees, authorised representatives, licensors and permitted assigns.

1.4 Content

Any material made available through the Platform, including text, graphics, images, videos, audio, software, documents, educational materials, user interfaces and other digital content.

1.5 Parent or Legal Guardian

An individual who is at least eighteen (18) years of age and is legally authorised to create and operate an Account on behalf of a Child.

1.6 Platform

The MontreCY website, mobile applications, products, services, software, and all related features, content, and functionality made available by the Company from time to time.

1.7 Terms

These Terms of Use, together with any policies or documents incorporated by reference.

1.8 User

Any person who accesses or uses the Platform, including a Parent, Legal Guardian or Child.

1.9 Wallet Points

Promotional credits issued by the Company for use within the Platform in accordance with these Terms and the Company's applicable policies. Wallet Points have no monetary value and cannot be redeemed for cash.

1.10 Website

The Company's official website located at www.montrecy.com, including any successor domain operated by the Company.

1.11 "We", "Us", "Our"

Refer to SKILLNEST SCHOOL PRIVATE LIMITED.

1.12 "You", "Your"

Refer to any User of the Platform.

Acceptance of the Terms and Eligibility

2.1Acceptance

These Terms constitute a legally binding agreement between you and SKILLNEST SCHOOL PRIVATE LIMITED governing your access to and use of the Platform.

By accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms, the Privacy Policy and any other policies published by the Company from time to time.

If you do not agree to these Terms, you must discontinue your use of the Platform immediately.

2.2Eligibility

The Platform is intended for use by children under the supervision of their Parent or Legal Guardian.

Only individuals who are eighteen (18) years of age or older and legally competent to enter into a binding agreement may create or operate an Account.

By permitting a Child to use the Platform, the Parent or Legal Guardian accepts these Terms on the Child's behalf and assumes responsibility for the Child's use of the Platform.

2.3User Obligations

You agree to:

  • provide accurate and current information;
  • comply with these Terms and applicable laws;
  • use the Platform only for lawful purposes; and
  • ensure that all activities carried out through your Account comply with these Terms.
2.4Changes to these Terms

The Company may amend these Terms from time to time.

Where required by applicable law, material changes will be communicated through appropriate channels.

Your continued use of the Platform after such changes become effective constitutes your acceptance of the revised Terms.

2.5Additional Policies

Your use of certain features or services may also be governed by additional policies published by the Company from time to time.

  • Such policies form an integral part of these Terms.

Registration, Parent Accounts and Child Profiles

3.1Registration

Access to certain features of the Platform requires the creation of an Account.

You are responsible for ensuring that the information provided during registration remains accurate, complete and up to date.

The Company may verify user information where reasonably necessary.

3.2Parent Responsibility

Children may access and use the Platform only under the supervision of a Parent or Legal Guardian.

The Parent or Legal Guardian is responsible for:

  • all activities carried out through the Account;
  • supervising the Child's use of the Platform;
  • maintaining the confidentiality of login credentials; and
  • complying with these Terms.
3.3Account Deletion / Deactivation

Parents may deactivate their Account through the Platform at any time. Parents may also request deletion of their Account and associated Personal Data through the Platform's Account Settings or by contacting us at customersupport@montrecy.com. The Company may retain certain information where required by applicable law or for legitimate business purposes as described in the Privacy Policy.

3.4Account Security

You are responsible for safeguarding your Account credentials and for all activities carried out using your Account.

You must promptly notify the Company of any suspected unauthorised access or security incident.

3.5Account Management

The Company may suspend, restrict, verify or terminate an Account in accordance with these Terms where necessary to protect the Platform, its users, comply with applicable law or safeguard the Company's legitimate interests.

Users may request closure of their Account in accordance with the Company's applicable policies.

The Company may retain information where required by law or for legitimate business purposes.

Platform Services

4.1General

MontreCY™ is an educational platform operated by SKILLNEST SCHOOL PRIVATE LIMITED that offers financial literacy programmes and related educational services for children under the guidance and supervision of their Parent or Legal Guardian.

The Platform may provide access to educational content, assessments, subscriptions, courses, events, rewards, certificates, redemption programmes, merchandise, and other products, services, features, or experiences that the Company may introduce from time to time.

4.2Availability of Services

The availability of any feature, service, content, programme, event, reward, course, subscription, or other offering may vary based on factors including, but not limited to:

  • user eligibility
  • subscription status
  • geographic availability
  • technical compatibility
  • operational requirements, or
  • any other criteria determined by the Company.

The Company does not guarantee that any particular service or feature will be available at all times or in all locations.

4.3Modifications to the Platform

The Company reserves the right, at its sole discretion and without prior notice, to:

  • introduce new features, products, or services;
  • modify, enhance, suspend, replace, or discontinue any existing feature or service;
  • revise pricing, eligibility criteria, participation requirements, or access conditions; and
  • update the Platform as necessary to improve user experience, ensure security, comply with applicable laws, or support business operations.

Such modifications shall not constitute a breach of these Terms.

4.4Proprietary Methodologies

All features, workflows, business rules, algorithms, scoring mechanisms, learning pathways, reward systems, evaluation criteria, and operational methodologies implemented within the Platform are proprietary to the Company and constitute its confidential intellectual property.

Nothing contained on the Platform or in these Terms shall be interpreted as granting any right to access, reproduce, reverse engineer, disclose, or otherwise use such proprietary methodologies except as expressly permitted by the Company.

4.5No Guarantee of Educational Outcomes

The Platform is intended to support financial literacy and learning through educational experiences.

While the Company endeavours to provide high-quality educational content and services, it does not guarantee any specific educational, academic, behavioural, financial, or personal outcomes arising from the use of the Platform. Individual results may vary depending on a variety of factors, including the learner's participation, effort, parental involvement, and other circumstances beyond the Company's control.

Commercial Terms

5.1Fees and Payments

Certain features, products, services, programmes, subscriptions, events, courses, merchandise, or other offerings made available through the Platform may require payment of applicable fees.

All payments shall be processed through payment service providers authorised by the Company. The Company does not store or process payment card information except as required to facilitate transactions through its authorised payment partners.

All fees, pricing, taxes, and applicable charges will be displayed at the time of purchase and must be paid in accordance with the payment terms presented during the transaction.

5.2Subscriptions and Purchases

Access to certain features of the Platform may be subject to the purchase of a subscription or other paid offering.

Unless otherwise expressly stated by the Company, subscriptions do not renew automatically and must be renewed manually by the user.

The scope, duration, benefits, pricing, eligibility criteria, and availability of any subscription, course, event, product, or other offering are determined solely by the Company and may be modified from time to time.

5.3Rewards and Promotional Benefits

The Company may, at its sole discretion, introduce rewards, Wallet Points, certificates, prizes, recognition programmes, promotional offers, or other incentives as part of the Platform.

Such benefits are promotional in nature and are governed by the Company's policies, eligibility criteria, and programme rules in effect at the relevant time.

The Company reserves the right to introduce, modify, suspend, withdraw, or discontinue any such programme, including its eligibility criteria, validity, availability, and redemption conditions, without prior notice.

The Platform may be made available through third-party application marketplaces, including the Apple App Store and Google Play Store. Apple Inc., Google LLC, and their respective affiliates do not sponsor, administer, endorse, or have any involvement with the Wallet Points programme, rewards, merchandise, or promotional activities offered through the Platform.

5.4Wallet Points

Wallet Points are promotional credits issued by the Company and are intended solely for use within the Platform in accordance with the Company's policies.

Wallet Points:

  • have no monetary value
  • do not constitute legal tender, stored value, or electronic money
  • cannot be transferred, assigned, gifted, sold, exchanged, or redeemed for cash
  • may only be used in the manner permitted by the Company, and
  • may be modified, adjusted, forfeited, suspended, or withdrawn by the Company in accordance with its policies
5.5Redemption and Merchandise

Where the Platform permits redemption of Wallet Points or other promotional benefits, such redemption shall be subject to eligibility, verification, availability, applicable policies, and stock availability.

The Company reserves the right to substitute, replace, modify, or discontinue any item or offering available through the Platform without prior notice.

Orders may be cancelled by the user only before dispatch, where such cancellation is permitted by the Company. Requests for replacement of delivered merchandise shall be considered on a case-by-case basis in accordance with the Company's applicable policies.

5.6Refunds and Cancellations

Refunds, cancellations, replacements, and other post-purchase requests shall be governed by the Company's applicable Refund & Cancellation Policy and any other policies published from time to time.

Nothing in these Terms shall be interpreted as creating an automatic right to cancellation, refund, replacement, or compensation except where expressly required by applicable law or the Company's published policies.

5.7Taxes

All applicable taxes, duties, levies, or statutory charges shall be applied in accordance with applicable laws.

Where required, invoices or other transaction records will be issued in accordance with applicable legal and tax requirements.

User Responsibilities and Acceptable Use

6.1Compliance with these Terms

You agree to access and use the Platform only in accordance with these Terms, applicable laws, and any policies, guidelines, or instructions issued by the Company from time to time.

You are responsible for all activities carried out through your Account and any linked Child Profiles.

6.2Parent Responsibilities

Parents or Legal Guardians are responsible for supervising the Child's use of the Platform and for ensuring that the Child uses the Platform responsibly and in accordance with these Terms.

The Parent is solely responsible for:

  • maintaining the confidentiality of their Account credentials
  • monitoring activities performed through linked Child Profiles
  • ensuring that information provided on the Platform remains accurate and up to date
  • approving transactions or activities where required by the Platform, and
  • complying with all applicable laws relating to the use of the Platform
6.3Acceptable Use

You agree that neither you nor any Child using the Platform through your Account shall:

  • use the Platform for any unlawful or fraudulent purpose
  • impersonate another person or misrepresent your identity
  • interfere with the security, integrity, or operation of the Platform
  • introduce viruses, malware, or other harmful code
  • attempt to gain unauthorised access to any part of the Platform or its systems
  • use automated tools, bots, scripts, or similar technologies to access or interact with the Platform without the Company's prior written consent
  • copy, reproduce, distribute, modify, or commercially exploit any part of the Platform except as expressly permitted by the Company, or
  • engage in any activity that may adversely affect other users or the Company's operations
6.4Fair Use

The Platform is intended to provide a fair and engaging learning experience for all users.

You shall not attempt to manipulate, exploit, misuse, or interfere with any feature, programme, assessment, rewards programme, promotional activity, event, or other functionality made available through the Platform.

The Company reserves the right to investigate any activity that it reasonably believes may compromise the integrity, security, fairness, or intended use of the Platform.

6.5User Generated Content

The Platform may permit users to upload profile photographs, activity completion images, or other content in connection with the services offered through the Platform.

You represent and warrant that:

  • you own or have all necessary rights to upload such content
  • the content does not infringe the rights of any third party
  • the content complies with applicable laws and these Terms

You retain ownership of the content uploaded by you. However, by uploading such content, you grant the Company a worldwide, non-exclusive, royalty-free licence to store, reproduce, process, display, and use such content solely for operating, administering, improving, securing, and promoting the Platform and its services.

The Company reserves the right to remove or restrict access to any content that it reasonably believes violates these Terms, applicable laws, or the rights of any person.

6.6Monitoring and Enforcement

The Company may, but is not obligated to, monitor the use of the Platform to ensure compliance with these Terms and applicable laws.

Where the Company reasonably believes that any activity violates these Terms or threatens the security, integrity, or proper functioning of the Platform, it may take such action as it considers appropriate, including restricting access, removing content, suspending accounts, or taking any other action permitted under these Terms or applicable law.

Intellectual Property Rights

7.1Ownership

The Platform and all intellectual property rights associated with it are owned by or licensed to SKILLNEST SCHOOL PRIVATE LIMITED and are protected under applicable intellectual property, copyright, trademark, trade secret, and other laws.

Nothing contained in these Terms transfers any ownership or proprietary rights to any user.

7.2Company's Intellectual Property

Without limitation, the Company's intellectual property includes the Platform and all associated:

  • software and source code
  • applications and websites
  • user interfaces and designs
  • educational content and curriculum
  • assessments, questions, activities, and learning materials
  • videos, graphics, illustrations, audio, animations, and documentation
  • business methods, workflows, processes, methodologies, and operational frameworks
  • algorithms, scoring mechanisms, evaluation criteria, and proprietary logic
  • reward programmes, promotional mechanisms, and redemption systems
  • databases, data compilations, reports, and analytics
  • trademarks, trade names, logos, branding, and domain names, and
  • all present and future improvements, enhancements, modifications, derivative works, and related intellectual property

The above list is illustrative and not exhaustive.

7.3Limited Licence

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for your personal, non-commercial educational use.

This licence does not grant you any ownership rights in the Platform or its intellectual property.

7.4Restrictions

Except as expressly permitted by the Company or applicable law, you shall not, directly or indirectly:

  • copy, reproduce, distribute, publish, transmit, display, modify, or create derivative works from any part of the Platform
  • reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Platform
  • reproduce or use the Company's business methods, workflows, proprietary methodologies, evaluation mechanisms, algorithms, or operational processes
  • remove, alter, or obscure any copyright, trademark, or proprietary notices
  • use the Platform or its content to develop or support a competing product or service, or
  • otherwise exploit the Company's intellectual property for any commercial purpose without prior written consent
7.5Feedback

If you provide any suggestions, recommendations, ideas, comments, enhancement requests, or other feedback relating to the Platform, you agree that:

  • the Company may use such feedback without restriction or obligation
  • you assign, to the extent permitted by law, all rights necessary for the Company to use and commercialise such feedback, and
  • you shall not be entitled to any compensation or acknowledgement unless expressly agreed in writing
7.6Trademarks

MontreCY™, the MontreCY™ name, logos, product names, service names, slogans, graphics, and other identifiers used on the Platform are trademarks or proprietary identifiers of SKILLNEST SCHOOL PRIVATE LIMITED, whether registered or unregistered.

Nothing contained in these Terms grants any licence or permission to use any such trademark or proprietary identifier without the Company's prior written consent.

7.7Reservation of Rights

All rights not expressly granted under these Terms are reserved by the Company.

No implied licence, waiver, assignment, or transfer of any intellectual property rights shall arise by virtue of your access to or use of the Platform.

7.8Protection Against Competitive Use

You shall not use the Platform, its Content, or any information obtained through the Platform for the purpose of developing, operating, supporting, benchmarking, training, or improving any competing product, service, curriculum, educational programme, software, or business.

Privacy and Communications

8.1Privacy

Your privacy is important to us. The collection, use, storage, processing, disclosure, retention, and protection of your personal information are governed by the Company's Privacy Policy, which forms an integral part of these Terms.

By accessing or using the Platform, you acknowledge that you have read and understood the Privacy Policy and consent to the collection and processing of your information in accordance with the Privacy Policy and applicable laws.

8.2Electronic Communications

By creating an Account or using the Platform, you consent to receive communications from the Company through electronic means, including but not limited to:

  • email
  • SMS
  • in-app notifications
  • push notifications, and
  • other communication channels made available through the Platform.

These communications may relate to account administration, authentication, subscriptions, purchases, transactions, events, platform updates, maintenance activities, policy updates, security notifications, customer support, and other service-related matters.

8.3Marketing Communications

Where permitted by applicable law, the Company may send information relating to new products, services, educational programmes, offers, events, or promotional campaigns.

You may opt out of receiving marketing communications at any time using the unsubscribe mechanism provided or by updating your communication preferences within the Platform. Opting out of marketing communications will not affect the delivery of essential service-related communications.

8.4Third-Party Services

The Platform may integrate with or rely upon third-party service providers for services including, but not limited to, payment processing, communication services, analytics, cloud hosting, customer support, logistics, or other operational purposes.

The Company is not responsible for the content, policies, or practices of such third-party services. Your use of those services may also be subject to the respective third party's terms and policies.

8.5Consent to Contact

You authorise the Company to contact you using the contact information associated with your Account for purposes relating to the operation, administration, support, security, and improvement of the Platform, including responding to your requests or fulfilling legal and regulatory obligations.

Suspension and Termination

9.1Suspension or Restriction of Access

The Company reserves the right, at its sole discretion, to suspend, restrict, or terminate access to the Platform, in whole or in part, with or without prior notice, where it reasonably believes that:

  • these Terms or any applicable policy have been violated
  • the Platform is being used in an unlawful, fraudulent, abusive, or unauthorised manner
  • any activity compromises or may compromise the security, integrity, availability, or proper functioning of the Platform
  • such action is necessary to protect the interests of the Company, its users, or any third party, or
  • such action is required to comply with applicable law, a court order, or the lawful direction of a competent authority.

The Company may also suspend or restrict access for operational, maintenance, security, or technical reasons.

9.2Effect of Suspension or Termination

Upon suspension or termination, the Company may, without limitation:

  • restrict access to the Platform or any part thereof
  • suspend or discontinue access to any feature or service
  • cancel or deactivate user accounts or profiles
  • remove or disable access to user content where appropriate, and
  • take any other action reasonably necessary to protect the Platform or enforce these Terms

Suspension or termination shall not affect any rights or obligations accrued prior to such suspension or termination.

9.3User-Initiated Account Closure

You may request closure of your Account at any time by contacting the Company's support team or through any account management functionality made available by the Platform.

Account closure shall remain subject to applicable laws, the Company's data retention obligations, and any outstanding contractual or legal obligations.

9.4Survival

Any provision of these Terms which by its nature is intended to survive suspension, termination, or expiry shall continue to remain in full force and effect, including provisions relating to intellectual property, payments, refunds, data retention, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law.

9.5No Waiver

The Company's decision not to exercise any right or remedy available under these Terms shall not constitute a waiver of that right or any other right available to the Company.

Disclaimers

The Platform and all content, products, services, and features are provided on an "as is" and "as available" basis, without any express or implied warranties, except as required by applicable law.

While the Company endeavours to provide accurate and reliable services, it does not warrant that:

  • the Platform will be uninterrupted, error-free, or free from viruses or other harmful components
  • any content will always be accurate, complete, or current
  • any particular feature or service will remain available, or
  • use of the Platform will result in any specific educational, academic, financial, or personal outcome.

The Company may temporarily suspend or restrict access to the Platform for maintenance, upgrades, security, or operational reasons.

Limitation of Liability

To the maximum extent permitted by applicable law, SKILLNEST SCHOOL PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors, partners, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, business opportunities, or other intangible losses arising out of or relating to the use of, or inability to use, the Platform.

The Company's aggregate liability arising out of or relating to these Terms or the use of the Platform shall not exceed the amount actually paid by the user to the Company during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Indemnity

You agree to indemnify, defend, and hold harmless SKILLNEST SCHOOL PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors, partners, and service providers from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms
  • your misuse of the Platform
  • your violation of any applicable law, or
  • your infringement of the rights of any third party

Changes to the Platform and these Terms

The Company may modify, suspend, discontinue, or introduce any part of the Platform at its sole discretion.

The Company may also amend these Terms from time to time. Material changes will be communicated through appropriate channels where required by applicable law.

Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

The courts at Bengaluru, Karnataka, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the use of the Platform, subject to applicable law.

The parties shall endeavour to resolve disputes amicably before initiating legal proceedings.

Miscellaneous

15.1Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the use of the Platform.

15.2Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3Waiver

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

15.4Assignment

The Company may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without the Company's prior written consent.

15.5Force Majeure

The Company shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labour disputes, internet or telecommunications failures, cyberattacks, epidemics, pandemics, or other force majeure events.
